Acceptance of terms

By accessing or using SPCX ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

Description of service

SPCX is an AI-powered platform that provides AI visibility scoring, website optimization, and AI agent services for local service businesses. Services include the free AI Visibility Auditor, the Core plan (the always-on base, billed per client location), the Growth and Pro add-on packs, and custom agents built via Agent Architect.

Subscription and billing

  • Subscription fees are billed monthly in advance.
  • Setup fees are charged once at the time of purchase.
  • All fees are non-refundable except as required by law.
  • You may cancel your subscription at any time.
  • Upon cancellation, your service remains active until the end of the current billing period.
  • We reserve the right to change pricing with 30 days' notice.

Agent Vault and marketplace

  • SPCX native agents are included per your plan terms.
  • Premium agents are billed as monthly add-ons.
  • Custom agents built via Agent Architect are owned by the client.
  • By submitting a custom agent to the Agent Vault marketplace, you grant SPCX a non-exclusive license to distribute it to other SPCX clients.
  • Creator rebates of 20% of monthly marketplace revenue are paid as account credit or cash via Stripe.
  • SPCX reserves sole discretion on marketplace acceptance.
  • SPCX reserves the right to modify or remove marketplace agents at any time.

Acceptable use

You agree not to:
  • Use the Service for any unlawful purpose.
  • Attempt to gain unauthorized access to any part of the Service.
  • Interfere with or disrupt the Service or servers.
  • Upload malicious code or content.
  • Misrepresent your identity or business information.

Intellectual property

  • SPCX retains all rights to the platform, software, and technology.
  • You retain ownership of your business data and content.
  • AI-generated content created for your site is licensed exclusively to your business.
  • Custom agents built via Agent Architect are owned by the client, subject to the marketplace license above.

Data and privacy

Your use of the Service is also governed by our Privacy Policy. By using the Service you consent to the data practices described therein.

Google Cloud infrastructure

SPCX operates on Google Cloud Platform infrastructure. Your data is subject to Google Cloud's security and compliance standards in addition to SPCX's own policies.

Limitation of liability

To the maximum extent permitted by law, SPCX shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, arising from your use of the Service.

Indemnification

You agree to indemnify and hold harmless SPCX and its officers, directors, employees, and agents from any claims arising from your use of the Service or violation of these Terms.

Termination

SPCX reserves the right to terminate or suspend your account at any time for violation of these Terms. You may terminate your account at any time by contacting hello@spcx.ai.

Changes to terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email. Continued use of the Service after changes constitutes acceptance.

Governing law

These Terms are governed by the laws of the State of Oregon, United States, without regard to conflict of law principles.
